Synpunkter avseende Europeiska kommissionens förslag till direktiv om gränsöverskridande distribution av fonder

Föreningen är generellt sett positiv till ambitionen med kommissionens förslag, men tror dessvärre att de kommer att få liten verkan i praktiken. En risk är emellertid att den reglering som föreslås snarare ökar komplexiteten genom att förslagen i delar är onödigt komplicerade och i delar är otydliga.

Föreningen har följande synpunkter och förslag i detalj.

Artikel 1.1

Det föreslås att en ny artikel 17.8a införs i UCITS-direktivet i syfte att harmonisera notifieringsprocessen vid ändring av gränsöverskridande verksamhet med den i AIFMD. Processen för att anmäla ändringar är mer komplicerad i UCITS-direktivet än den är i AIFMD. Enligt UCITS-direktivet krävs beslut av både hemmedlemsstatens och värdmedlemsstatens myndigheter såväl vid etableringen av en filial (artikel 17.3 och 17.6) som vid ändringsanmälan (artikel 17.8). Enligt AIMFD får en filial etableras så snart hemmedlemsstatens myndigheter överlämnat underrättelse till värdmedlemsstatens myndigheter (artikel 33.4) och detsamma gäller vid ändringar av verksamheten (artikel 33.6). Det kan också konstateras att tillhandahållande av tjänster genom en filial respektive utan en filial, regleras på ett liknande sätt i AIFMD (artikel 33), medan motsvarande processer i UCITS-direktivet skiljer sig åt (artikel 17 respektive artikel 18).

Det nu föreslagna tillägget i artikel 17.8a rör endast anmälan av ändrad verksamhet som drivs genom en filial. Ändringen leder inte i någon högre utsträckning till en harmonisering med den process för anmälan av gränsöverskridande verksamhet som finns i AIFMD. Även med den föreslagna ändringen skulle processerna se helt olika ut. Förslaget innebär t.ex. – genom hänvisningen till artikel 17.8 – att beslut om ändringar alltjämt ska fattas av såväl hemmedlemsstatens som värdmedlemsstatens respektive myndigheter. För att uppnå en sådan harmonisering mellan regelverken som synes eftersträvas föreslår föreningen följande ändringar i artikel 17 i UCITS-direktivet.

(1) Article 17 paragraph 3 is amended as follows:

Unless the competent authorities of the management company’s home Member State have reason to doubt the adequacy of the administrative structure or the financial situation of a management company, taking into account the activities envisaged, they shall, within two months of receiving all the information referred to in paragraph 2, communicate that information to the competent authorities of the management company’s host Member State and shall inform the management company accordingly. They shall also communicate details of any compensation scheme intended to protect investors.

Where the competent authorities of the management company’s home Member State refuse to communicate the information referred to in paragraph 2 to the competent authorities of the management company’s host Member State, they shall give reasons for such refusal to the management company concerned within two months of receiving all the information. The refusal or any failure to reply shall be subject to the right to apply to the courts in the management company’s home Member State.

Where a management company wishes to pursue the activity of collective portfolio management referred to in Annex II, the competent authorities of the management company’s home Member State shall enclose with the documentation sent to the competent authorities of the management company’s host Member State an attestation that the management company has been authorised pursuant to the provisions of this Directive, a description of the scope of the management company’s authorisation and details of any restriction on the types of UCITS that the management company is authorised to manage.

Notwithstanding Articles 20 and 93, the management company may then start business in the management company’s host Member State.

(2) In Article 17, paragraphs 6 and 7 are deleted.

(3) Article 17 paragraph 8 is amended as follows:

In the event of change of any particulars communicated in accordance with paragraph 2(b), (c) or (d), a management company shall give written notice of that change to the competent authorities of the management company’s home Member State and of the management company’s host Member Stateat least one month before implementing the change so that the competent authorities of the management company’s home Member State may take a decision on the change under paragraph 3 and the competent authorities of the management company’s host Member State may do so under paragraph 6.

Where, pursuant to a change referred to in paragraph 8, the UCITSmanagement company would no longer comply with this Directive, the relevant competent authorities referred to in paragraph 8 the first subparagraph shall notify the management company within 10 working days that it is not to implement that change.

Where a change referred to in paragraph 8 is implemented after notification has been made in accordance with the first second subparagraph and pursuant to that change the UCITS management company no longer complies with this Directive, the competent authorities of the home Member State of the UCITS management company shall take all due measures in accordance with Article 98.

Where a change referred to paragraph 8 does not affect the compliance of the management company with this Directive, the competent authorities of the home Member State of the management company shall, within 10 working days, inform the competent authorities of the host Member State of the management company of those changes.

Artikel 1.5

Det föreslås ändringar av artikel 92 i UCITS-direktivet, vilken reglerar vilka åtgärder som ska vidtas när en fond marknadsförs i ett annat land. Ändringarna syftar till att underlätta sådan marknadsföring och förhindra att det ställs krav på fysisk representation i värdlandet (skäl 6). De ändringar som föreslås framstår dock som att de komplicerar den nuvarande processen enligt artikel 92.

Begreppet ”UCITS marketing documents” som används i punkten 1.a är inte definierat. Det är oklart vilka dokument som avses och där information om utbetalningar etc. skulle förekomma. Vidare bör informationskraven och kraven på översättning överensstämma med de som gäller enligt artikel 94 i UCITS-direktivet. Här kan särskilt noteras att artikel 94 hänvisar till all den information som ska tillhandahållas enligt kapitel IX, däribland fondbestämmelser (artikel 71) och årsrapport (artikel 75). Kraven på översättning bör inte gå längre än vad som gäller beträffande faktabladet enligt artikel 94.1.b.

Det kan också noteras att systematiken med att använda begreppet ”UCITS” som en samlingsbeteckning för förvaltningsbolag och investeringsbolag frångås (jfr skäl 6 i direktiv 2009/65/EG). Detta får betydelse för de UCITS som är juridiska personer (investeringsbolag). Föreningen föreslår följande lydelse:

Article 92

1. Member States shall ensure that the UCITS management companyestablishes, in each Member State where it intends to market units of a UCITS, facilities to perform the following tasks:

(a) process investors’ subscription, payment, repurchase and redemption orders relating to the units of the UCITS, in accordance with the conditions set out in the UCITS marketing documents;

(b) provide investors with information on how orders referred to in point (a) can be made and how repurchase and redemption proceeds are paid;

(c) facilitate the handling of information relating to the investors’ exercise of their rights arising from their investment in the UCITS in the Member State where the UCITS is marketed;

(d) make available to investors, for inspection and for the obtaining of copies of:, information in accordance with Article 94.

(i) fund rules or instruments of incorporation of the UCITS;

(ii) the latest annual report of the UCITS;

 

(e) provide investors with information relevant to the tasks the facilities perform in a durable medium as defined in Article 2(1)(m).

2. Member States shall not require the UCITS management company to have a physical presence for the purpose of paragraph 1.

3. The UCITS management company shall ensure that the facilities referred to in paragraph 1 are of the following types and have the following characteristics:

(a) their tasks are performed in the official language, or one of the official languages, of the Member State where the UCITS is marketed or into a language approved by the competent authorities of that Member State;

(b) their tasks are performed by the UCITS management company itself or a third entity subject to regulation governing the tasks to be performed, or both;

For the purposes of point (b), where the facilities are performed by a third entity, the appointment of a third entity shall be evidenced by a written contract, which specifies which of the tasks referred to in paragraph 1 are not performed by the UCITS management company and that the third entity receives all the relevant information and documents from the UCITS management company.’

Artikel 1.6

Det föreslås ändringar av artikel 93.8 i UCITS-direktivet som innebär att ändringar i anmälan om gränsöverskridande marknadsföring ska lämnas till myndigheterna i hemmedlemsstaten i stället för värdmedlemsstaten. Syftet torde vara att underlätta ändringsanmälningar. Emellertid anges att en sådan anmälan ska ske minst en månad innan förändringen genomförs. Detta förefaller orimligt. När anmälan görs första gången ska hemlandsmyndigheten inom 10 arbetsdagar överlämna den till värdlandet och från den dagen får marknadsföringen inledas (artikel 93.3). Det kan inte ta längre tid att hantera en ändring av anmälan.

Artikeln har utformats med AIFMD som förebild (jfr artikel 32.7). Lydelsen har dock inte anpassats till UCITS-förhållanden. En UCITS-fond är reglerad, medan en AIF inte är det. Därmed är processen för marknadsföring av UCITS-fonder utformad på ett betydligt enklare sätt. Skrivningar om att UCITS-fonden inte längre skulle vara en UCITS-fond saknar relevans. I ett sådant fall har fonden inte längre tillstånd enligt UCITS-direktivet. Processen att ändra en anmälan kan inte rimligtvis göras mer komplex än den som gäller för själva anmälan enligt artikel 93.

Föreningen föreslår följande lydelse:

In the event of a change to the information in the notification letter submitted in accordance with paragraph 1, or a change regarding share classes to be marketed, the UCITS shall give written notice thereof to the competent authorities of the home Member State at least one month ten working daysbefore implementing that change.

Where, pursuant to a change referred to in the first subparagraph the UCITS would no longer comply with this Directive, the relevant competent authorities shall notify the UCITS within 10 working days that it is not to implement that change.

 

Where a change referred to in the first subparagraph is implemented after notification has been made in accordance with the second subparagraph and pursuant to that change the UCITS no longer complies with this Directive, the competent authorities of the home Member State of the UCITS shall take all due measures in accordance with Article 98, including, where necessary, the express prohibition of marketing of the UCITS.

Where the changes referred to in the first subparagraph do not affect the compliance of the UCITS with this Directive, tThe competent authorities of the home Member State of the UCITS shall, without undue delay, inform the competent authorities of the host Member State of the UCITS of those changes.

Artikel 1.7

Det föreslås en ny artikel 93a som ska reglera rätten att upphöra med marknads­föringen i en medlemsstat. Villkor för att få upphöra är bl.a. att det finns högst tio andelsägare i värdlandet vilka innehar mindre än en procent av fonden. Det kan konstateras att fondandelarna oftast är förvaltarregistrerade, vilket innebär att fondbolaget inte känner till hur många andelsägare det rör sig om. Därmed kan regeln sägas ha ett begränsat värde. En viktig fråga är dock vad som avses med ”investor”. Om t.ex. en bank anges i andelsägarregistret skulle banken i vissa jurisdiktioner kunna ses som ”investor”, medan den i andra skulle ses som en mellanhand. Det skulle innebära att bestämmelsen får olika innebörd i medlemsstaterna vilket i vart fall bör uppmärksammas.

Vidare bör det klargöras att investerare som investerat i fonden utan föregående marknadsföring, innan det att fonden inanmälts, inte räknas in i de tio investerarna. Dessa har investerat på eget initiativ utan att de åtgärder som anges i artikel 92 finns på plats och bör inte åtnjuta ett högre skydd för att fonden därefter inanmäls. En sådan ordning skulle vara kontraproduktiv i förhållande till syftet med reglerna.

Det bör också klargöras vad som avses med ”publicly available medium customary for marketing UCITS and suitable for a typical UCITS investor” eller i vart fall anges att en webbsida kan vara ett sådant medium. 

Föreningen föreslår följande lydelse:

Article 93a

1. The competent authorities of the UCITS home Member State shall ensure that UCITS may discontinue marketing its units in a Member State where it has notified its activities in accordance with Article 93, where all the following conditions are fulfilled:

(a) no investor which is domiciled or has a registered office in a Member State where the UCITS has notified its activities in accordance with Article 93 holds units of that UCITS, or no more than 10 investors which are domiciled or have a registered office in that Member State hold units of the UCITS representing less than 1 % of assets under management of that UCITS, including only investments made as a result of marketing;

(b) a blanket offer to repurchase, free of any charges or deductions, all its UCITS units held by investors in a Member State where the UCITS has notified its activities in accordance with Article 93 is made public for at least 30 working days and is addressed individually to all investors in the host Member State whose identity is known;

(c) the intention to stop the marketing activities in the Member State where the UCITS has notified its activities in accordance with Article 93 is made public by means of a publicly available medium which is customary for marketing UCITS and suitable for a typical UCITS investor, such as a website.

The information referred to in points (b) and (c) shall be provided in the official language, or one of the official languages, of the Member State where the UCITS has been marketed or into a language approved by the competent authorities of that Member State.

 

2. The UCITS shall submit a notification letter to the competent authorityies of its home Member State comprising the information referred to in paragraph 1.

3. The competent authorities of the UCITS home Member State shall, no later than 20 working days from the receipt of the notification referred to in paragraph 2, transmit it to the competent authorities of the Member State where marketing of the UCITS is intended to be discontinued and to ESMA.

Upon transmission of the notification file pursuant to the first subparagraph the competent authorities of the UCITS home Member State shall immediately notify the UCITS of that transmission. As of this date, the UCITS shall cease all marketing of its units in the Member State identified in the notification letter referred to in paragraph 2.

4. The UCITS shall continue providing investors who remain invested in the UCITS, with the information required under Articles 68 to 82 and under Article 94.

5. Member States shall allow for the use of all electronic or other distance communication means for the purposes of paragraph 4, provided the information and communication means are available for investors in the official language, or one of the official languages, of the Member State where the investor is located or into a language approved by the competent authorities of that Member State.

Artikel 2.2

Det föreslås en ny artikel 30a i AIFMD som avser att harmonisera reglerna kring s.k. pre-marketing. Tanken är att en AIF-förvaltare ska kunna testa professionella investerares intresse för en fond innan den bildats. Artikeln har dock felaktigt placerats under kapitel V, ”AIF-förvaltare som förvaltar särskilda slag av AIF-fonder”, och avsnitt 2, ”Skyldigheter för AIF-förvaltare som förvaltar AIF-fonder som förvärvar kontroll över onoterade företag och över emittenter”. Detta ger ett felaktigt intryck av att bestämmelsen endast gäller för vissa typer av AIF-fonder. Bestämmelsen bör därför företrädesvis flyttas till kapitel VI som rör marknadsföring i allmänhet, eller läggas under egen rubrik.

En större invändning är att motsvarande bör gälla för UCITS-fonder. Även där finns ett lika stort behov av att kunna göra sonderingar hos professionella investerare, inte bara i hemlandet utan även i andra länder, kring intresset för olika investerings­strategier. Visserligen kan tyckas att det är naturligt att någon inanmälan av en fond inte behöver göras innan fonden existerar. Men när detta nu klargörs i AIFMD finns en risk att det uppstår tveksamheter kring vad som gäller vid motsvarande aktivitet på UCITS-sidan. Föreningen föreslår därför att en motsvarande bestämmelse införs i UCITS-direktivet. Det är något udda att ha en bestämmelse i UCITS-direktivet som rör professionella investerare, men likväl talar starka skäl för att det bör vara ett level-playing-field i denna del – t.ex. mellan en specialfond och en värdepappersfond – för att inte försvåra etablering av UCITS-fonder.

Artikel 2.5

Föreningen har inga andra synpunkter avseende den föreslagna artikeln 32a i AIFMD än vad som anges beträffande artikel 93a i UCITS-direktivet.

Artikel 2.7

Föreningen anser, såvitt gäller förslaget till artikel 43a i AIFMD, att begreppet ”icke-professionella investerare” bör användas i stället för ”retail investors” (jfr artikel 43 i AIFMD).
